Terms of Service

These Terms of Service ("Terms") govern your use of zmlai.org and the ZML inference orchestration platform (the "Service") operated by ZML SAS ("the Company," "we," "us," or "our"). By creating an account, accessing the API, or using any part of the Service, you accept these Terms in full. If you do not accept them, do not use the Service.
ZML provides software infrastructure for routing ML model inference workloads across GPU and accelerator hardware. These Terms cover that service, including the web platform, Python SDK, and API.
If you are a consumer (a natural person acting outside your trade, business, craft, or profession), nothing in these Terms limits your statutory consumer rights under your country of residence.
1. Agreement
These Terms constitute a legal agreement between you and ZML SAS (5 Rue de Mogador, 75009 Paris, France). Where you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Use of the Service
- You must be at least 18 years old, or have parental or guardian consent, to use the Service.
- You may use the Service only for lawful purposes and in accordance with these Terms.
- You agree not to interfere with or disrupt the Service, its infrastructure, or other users' access.
- You agree not to attempt to gain unauthorised access to any part of the Service, its servers, or connected systems.
- You may not copy, scrape, disassemble, or reverse-engineer the Service except as expressly permitted by mandatory law.
- You are solely responsible for the ML workloads, model inputs, and data you submit through the Service. ZML routes your inference requests; it does not review or validate workload content.
3. API Keys and Account Security
API keys issued to you are personal to your account. You must keep them confidential. Notify us immediately at [email protected] if you believe a key has been compromised. The Company is not liable for any loss arising from unauthorised use of your credentials before you notify us.
4. Intellectual Property
The Service, including all platform software, documentation, visual design, and API schema, is owned by ZML SAS or its licensors and is protected by French, EU, and international intellectual-property law. You receive a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose during your subscription period. Nothing in these Terms transfers any ownership to you.
5. Your Content and Workloads
You retain ownership of any model inputs, outputs, and configuration data you submit through the Service. You represent that you have all rights necessary to submit that content. You grant the Company a limited licence to use, store, and process your content solely to provide the Service. We do not use inference workload content to train our own models without your explicit written consent.
6. Fees and Payment
Paid tiers (Team and Production) are billed as described on the pricing page at zmlai.org/pricing.html. Fees are due in advance for the billing period selected. The Company reserves the right to suspend access for non-payment. All fees are stated exclusive of VAT; applicable French and EU VAT is added at checkout.
7. Right of Withdrawal (Consumer Contracts)
Where you enter into a paid contract with us as a consumer at a distance, you have the right to withdraw within 14 days without giving any reason, under the EU Consumer Rights Directive (Directive 2011/83/EU), transposed into French law (Code de la consommation Art. L221-18). To exercise the right, contact us at [email protected] with a clear statement of withdrawal. We will refund all payments received within 14 days of receiving your withdrawal notice.
The Service as currently offered through zmlai.org does not include immediate delivery of paid digital content that forfeits the withdrawal right. This clause applies if and when paid plan subscriptions are activated.
8. Disclaimers and Statutory Guarantees
The Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, error-free, or suitable for any specific hardware configuration. Nothing in these Terms excludes or limits our liability for (a) death or personal injury caused by our negligence, (b) fraud or fraudulent misrepresentation, or (c) any liability that cannot be excluded or limited under mandatory French or EU law. Statutory guarantees that apply to consumers under applicable EU law are not affected.
9. Limitation of Liability
To the extent permitted by applicable law, the Company's total aggregate liability for any claim arising from or related to the Service will not exceed the fees paid by you to the Company in the 12 months preceding the claim, or EUR 100, whichever is greater. This limitation does not apply to liability that cannot be limited under mandatory law (see Section 8).
10. Termination
Either party may terminate at any time. The Company may suspend or terminate your access without notice for material breach of these Terms, suspected fraud, or misuse of the platform. Sections that by their nature should survive termination will survive, including Sections 4, 5, 8, 9, and 12.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of France, without reference to conflict-of-laws principles.
The courts of Paris, France have exclusive jurisdiction over any dispute arising from or related to these Terms or the Service, subject to mandatory consumer-protection rules of your country of residence (Article 17-19 of Regulation (EU) No 1215/2012). If you are a consumer, you may also bring proceedings before the courts of your country of residence, and the Company may sue you only in those courts.
The European Commission provides an Online Dispute Resolution platform at ec.europa.eu/consumers/odr. We do not commit to using that platform for all disputes but will cooperate where required by applicable law.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with a new "Last updated" date. Continued use of the Service after the effective date of a revision constitutes acceptance of the revised Terms.
